01Acceptance of these terms

These Terms of Use (the "Terms") form a legally binding agreement between you and Envion Software ("we," "us," or "our") regarding your access to and use of https://envionsoftware.com and the related pages, content, and contact features we make available (collectively, the "Site").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

02Eligibility

You must be at least 18 years old and legally capable of entering into these Terms. If local law requires a higher age or parental authorization, that requirement applies. The Site is not intended for anyone whose use would violate applicable law.

03About the Site

The Site provides information about Envion Software — a Boston-based custom software development company with a Ukrainian engineering team — including our services, case studies, articles, assessments, and ways to contact us. It may allow you to send us an inquiry through a contact form and to request or receive marketing communications.

Unless we expressly state otherwise, the Site does not create a professional, fiduciary, employment, agency, partnership, or customer relationship merely because you visit it or contact us. Any development, consulting, or assessment engagement begins only after a written agreement is signed by both parties; that agreement supersedes any general statement on the Site.

We may change, suspend, withdraw, or restrict any part of the Site for operational, security, legal, or business reasons. We do not promise that any specific content or feature will always be available.

04Changes to these Terms

We may update these Terms from time to time. We will post the revised Terms at https://envionsoftware.com/terms-of-service, update the "Last updated" date, and provide any additional notice required by law. Changes apply prospectively from the effective date stated in the revised Terms. If applicable law requires your affirmative agreement to a change, we will request it.

05Limited license

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Site for lawful informational and business-contact purposes. This license does not transfer ownership of the Site or its content.

06Acceptable use

You must not, and must not assist another person to:

• Use the Site in violation of law, regulation, court order, or another person’s rights.
• Submit unlawful, deceptive, defamatory, infringing, abusive, malicious, or privacy-invasive material through the contact form.
• Introduce malware, harmful code, denial-of-service activity, or any other material designed to disrupt or damage the Site or another system.
• Probe, scan, test, bypass, or interfere with security, authentication, rate limits, access controls, or protective measures without our written authorization.
• Use automated means to scrape, harvest, index, or extract Site content or personal data except as permitted by law and our written instructions, including any robots.txt directives.
• Impersonate another person, misrepresent affiliation, falsify headers, or submit false contact information.
• Copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Site except to the limited extent that applicable law does not permit us to restrict that activity.
• Use the Site to develop, train, benchmark, or improve a competing product or model using our protected content without our written permission, except where applicable law gives you a non-waivable right.

07Contact forms, communications, and feedback

When you contact us, you agree that the information you provide is accurate and that you have the right to provide it. Do not submit confidential, proprietary, sensitive, or regulated information unless we specifically request it and provide appropriate instructions. Sending an inquiry does not obligate us to respond or enter into a relationship.

If you voluntarily provide ideas or feedback about the Site, you grant us a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use and incorporate that feedback without restriction or payment. This feedback license does not override the Privacy Policy or authorize us to use personal data contrary to applicable law.

08Intellectual property

The Site, including its design, text, graphics, logos, icons, images, audio, video, software, databases, arrangement, and other content, is owned by or licensed to Envion Software and is protected by intellectual-property and other laws. All rights not expressly granted are reserved.

Our names, logos, product names, and related marks are trademarks of Envion Software or their respective owners. You may not use them in a way that implies sponsorship, endorsement, or affiliation without prior written permission. Third-party names and marks belong to their respective owners.

09Third-party links and services

The Site may contain links to third-party websites, platforms, or resources. We do not control or endorse them and are not responsible for their availability, content, products, security, or privacy practices. Your use of a third-party service is governed by its own terms and policies. Review them before use.

10Privacy and cookies

These notices are incorporated by reference only to the extent permitted by applicable law and do not reduce any non-waivable privacy right.

11Informational content; no professional advice

Site content is provided for general information only. Unless a separate signed agreement expressly states otherwise, it is not legal, financial, medical, tax, investment, safety, or other professional advice and should not be relied on as a substitute for advice from a qualified professional. You are responsible for evaluating information before acting on it.

12Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF HARMFUL COMPONENTS, OR THAT CONTENT WILL BE COMPLETE, CURRENT, OR SUITABLE FOR YOUR PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

Nothing in these Terms excludes or limits any warranty, guarantee, remedy, or consumer right that cannot lawfully be excluded or limited.

13Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ENVION SOFTWARE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED THAT SUCH LOSS MAY OCCUR.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED US DOLLARS (US $100).

The exclusions and limitations in this section do not apply to liability that cannot be excluded or limited under applicable law, which may include liability for fraud, fraudulent misrepresentation, willful misconduct, gross negligence, death or personal injury caused by negligence, or breach of mandatory consumer rights.

14Business-user indemnity

If you use the Site on behalf of a business or organization, then, to the extent permitted by law, that business or organization will defend, indemnify, and hold harmless Envion Software and its affiliates, officers, directors, employees, and agents from third-party claims, damages, liabilities, judgments, costs, and reasonable legal fees arising from its material violation of these Terms, unlawful use of the Site, or infringement of another person’s rights. This section does not apply to an individual consumer where prohibited or unfair under applicable law.

15Suspension and termination

We may suspend, restrict, or terminate access to the Site when we reasonably believe this is necessary to address a violation of these Terms, security risk, legal requirement, harm to another person, or material operational issue. Where appropriate and legally required, we will provide notice and a reasonable opportunity to remedy the issue. You may stop using the Site at any time.

Provisions that by their nature should continue after termination will survive, including provisions concerning intellectual property, feedback, disclaimers, liability, indemnity, disputes, and miscellaneous terms.

16Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict-of-laws principles, except that mandatory laws in your place of residence may still apply. Courts located in Boston, Massachusetts, United States will have exclusive jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.

Before filing a claim, you and we agree to make a good-faith effort to resolve the dispute by written notice describing the issue and requested resolution. Notices to us must be sent to hello@envionsoftware.com. This informal process lasts 30 days unless urgency, a limitation period, or applicable law requires faster action.

17International use

The Site may be accessible from many locations, but we do not represent that it is appropriate or lawful everywhere. You are responsible for complying with laws that apply to your access and use. You must not use the Site where doing so is prohibited by applicable trade controls, sanctions, or other laws.

18Miscellaneous

• Entire agreement. These Terms and any expressly incorporated documents are the entire agreement about the Site, except where a separate written agreement expressly controls.
• Severability. If a provision is unenforceable, it will be enforced to the greatest lawful extent and the remaining provisions will continue, unless law requires otherwise.
• No waiver. A failure or delay in enforcement is not a waiver. Any waiver must be written and specific.
• Assignment. You may not transfer these Terms without our written consent. We may transfer them in a reorganization, asset sale, or by law, subject to mandatory protections and notice.
• No third-party beneficiaries. These Terms create no third-party rights unless they expressly state otherwise.
• Language. English is the controlling language of these Terms. The controlling version governs a conflict only to the extent permitted by law.
